terms of service To be an authorized affiliate of www.regency-remortgages.co.uk, you agree to abide by the terms and conditions contained in this agreement. Regency Mortgage Corporation Limited Terms & Conditions for Affiliates PROVISIONS TO BE DEEMED TO FORM PART OF EACH AFFILIATE AGREEMENT ENTERED INTO BETWEEN REGENCY MORTGAGE CORPORATION LIMITED AND AN AFFILIATE In applying to participate in the Regency Affiliate Program the Affiliate agrees to the following additional terms and conditions which are deemed to form part of the Affiliate Agreement between Regency and the Affiliate: \Regency\ means Regency Mortgage Corporation Limited, whose registered office is at Regency House, 10-12 Lansdowne Road, Bournemouth, BH1 1SD, Registered number: 3553354; FSA Registration number: 301056. 1. The Affiliate acknowledges and agrees that the copyright and all other proprietary rights in the Regency web site will remain vested in Regency. The Affiliate undertakes not to tamper in any way with the Regency web site or combine it in any way with any other web site and not to mask, frame, overlay, impair or otherwise alter or affect the Regency web site or impair its service quality or security. The Affiliate may not permit, nor suffer to be permitted, any other party to modify or tamper with the Regency web site. 2. The Affiliate agrees that its use of Regency ’s trademarks, trade names, logos, copyright and/or any other like intellectual property rights, and/or intellectual property rights of Regency with respect to special links, links formats and technical specifications (the “Regency IP”) pursuant to the Affiliate’s participation in the Regency Affiliate Program will not directly or indirectly create for it any right title or interest in such Regency IP and the Affiliate will not undertake any action that will interfere with or diminish Regency ’s right title and/or interest in or to the Regency IP. 3. The Affiliate undertakes that it will not copy, deface, distribute, amend or in any way alter any Regency trademarks, trade names or logos. 4. The Affiliate undertakes to ensure that it will not make any statement or representation whether on its web site or otherwise that it is connected or affiliated with Regency or Regency’s web site other than for the purpose of referring users to the Regency web site as contemplated under the Regency Affiliate Program. Nothing in the Regency Affiliate Program will create any partnership, joint venture, franchise or employment relationship between Regency and the Affiliate. The Affiliate will have no authority to make or accept any offers or representations, guarantees or warranties on Regency’s behalf, including with respect to Regency’s products or services. 5. The Affiliate undertakes not to endorse, offer advice or express any opinion in respect of Regency or Regency’s products and not to make any statement or representation that Regency endorses the Affiliate, its web site or any products or services of the Affiliate. 6. On termination of the Affiliate’s participation in the Regency Affiliate Program the Affiliate shall remove all references to Regency (including any trademarks, trade names and/or logos of Regency) from its web site and destroy any and all of Regency’s intellectual or proprietary property, information and/or materials in its possession. 7. Regency disclaims all liability in respect of the development, operation and maintenance of, and for all materials that appear on, the Affiliate’s web site and any improper, negligent or unauthorised use by the Affiliate of the Regency Affiliate Program and any technical problems and/or loss of data caused by the Affiliate linking to the Regency web site and the Affiliate undertakes to indemnify and hold Regency harmless from all claims, damages and expenses (including, without limitation, legal fees) regarding the same. 8. Neither Regency nor any of its affiliated companies will be liable for indirect, special or consequential damages (or any loss of revenue, profits or data) arising in connection with the Affiliate’s participation in the Affiliate Program, even if Regency or any of its affiliated companies have been advised of the possibility of such damages. Further, Regency’s aggregate liability arising with respect to the Affiliate’s participation in the Regency Affiliate Program will not exceed the total referral remuneration paid or payable to the Affiliate pursuant to the Affiliate Program at the time the act or omission giving rise to the liability occurred. 9. No persons other than the Affiliate and Regency shall have any rights under this Agreement insofar as the Agreement relates to the Regency Affiliate Program nor shall such Agreement be enforceable by any other person and except as expressly provided under this Agreement the provisions of the Contracts (Rights of Third Parties) Act 1999 shall not apply to this Agreement. 10. The Affiliate undertakes not to endorse, offer advice or express any opinion in respect of the Regency Website or the services and products offered on the Regency Website and not to make any statement or representation that the Regency Website owner endorses the Affiliate, their website or any products or services they offer. 11. The Affiliate undertakes not to copy, deface, distribute, amend or in any way alter any of the website links to the Regency Website. 12. The Affiliate must not use any text, content, banners or promotional material other than that which has been approved by Regency. ANY CONTENT OR PROMOTIONAL MATERIAL MUST COMPLY WITH THE GUIDANCE NOTES SET OUT BELOW IN APPENDIX I. Appendix I Guidance Notes for Promotional Material in line with Regulation by the Financial Services Authority Regulation by the Financial Services Authority (\FSA\) As an Affiliate, you must not use any text, content, banners or promotional material other than that which has been approved by Regency. Failure to comply with this constitutes a breach of the Regency Affiliate Agreement. Use of graphical elements Affiliates must not use any text, content, banners or promotional material other than that which has been approved by Regency and that is made available via the Regency program page. Failure to comply with this constitutes a breach of the Regency Affiliate Agreement as stated above. Affiliates may produce their own text or other promotional material to advertise Regency on their websites, but this must be approved by Regency before being published on the affiliate site. All such material should be submitted to Regency via the program Account Manager. Regency Email Marketing Policy If you wish to include Regency offers in any outbound emails to your customer base and you are using text or banners that have not been provided by Regency, please refer to the \Use of graphical elements\ section above. Please note that if you wish to send out a solus email promoting Regency\s products or services, this will need to be approved prior to broadcast. Any such solus emails should be sent to Regency for approval via the program Account Manager. If you are unsure about any of the above policies, please contact the program Account Manager. Any affiliate found to be undertaking any activity that is not permitted under the terms of this program, without the express permission of Regency could be removed from the program and have their commissions revoked. *Intellectual property means: all Regency\s intellectual property rights world-wide, including (without limitation) copyright, names, logos, trademarks (registered and unregistered), service marks, database rights and design and moral rights in any sign mark, logo and all application for the same anywhere in the world. Any use of our intellectual property either by bidding for our trademarked keywords or any other use of our intellectual property without our express permission will be considered a breach of Regency\s intellectual property rights and may lead to the affiliate being removed from the Regency scheme and further action taken.
